Terms of Service

These terms govern your access to and use of the Patriot Pay platform and services. Please read them carefully.

These Terms are a general agreement for use of the Patriot Pay platform. Where you have a separately signed order form, subscription agreement, or Business Associate Agreement with Patriot Pay, those documents govern in the event of any conflict. See our Privacy Policy for how we handle information.

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Patriot Pay platform, websites, and related services (collectively, the "Services") provided by Patriot Pay ("Patriot Pay," "we," "us," or "our").

By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization, and "you" refers to that organization. If you do not agree to these Terms, you may not use the Services.

2. Description of Services

Patriot Pay provides an AI-powered patient billing and revenue cycle platform that helps healthcare organizations predict payment behavior, engage patients, assist with billing inquiries, and resolve outstanding balances.

The Services are intended for use by healthcare providers, their authorized staff, and business partners. Specific features, service levels, and commercial terms are set out in the separate order form, subscription agreement, or master services agreement executed between you and Patriot Pay (each, an "Order"). In the event of a conflict between these Terms and a signed Order, the Order controls.

3. Eligibility and Accounts

You must be at least 18 years old and capable of forming a binding contract to use the Services.

    Account Responsibilities:

  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activity that occurs under your account
  • You must notify us immediately of any unauthorized use or security breach
  • You must provide accurate, current, and complete information and keep it updated

We reserve the right to suspend or terminate accounts that contain false information or that are used in violation of these Terms.

4. Acceptable Use

You agree not to, and not to permit any third party to:

  • Use the Services in any way that violates applicable laws or regulations
  • Access or attempt to access the Services by any means other than the interfaces we provide
  • Reverse engineer, decompile, or attempt to extract the source code of the Services
  • Interfere with, disrupt, or place undue load on the Services or supporting infrastructure
  • Introduce malware, viruses, or any malicious or harmful code
  • Use the Services to store or transmit content that is unlawful, infringing, or harmful
  • Attempt to gain unauthorized access to any accounts, systems, or data
  • Resell, sublicense, or otherwise commercially exploit the Services without our written consent

5. HIPAA and Data Protection

Patriot Pay acts as a Business Associate under the Health Insurance Portability and Accountability Act (HIPAA) when processing Protected Health Information (PHI) on behalf of covered entity clients.

  • Our processing of PHI is governed by a Business Associate Agreement (BAA) executed with each covered entity client
  • You are responsible for ensuring you have the necessary rights and consents to provide any data to the Services
  • Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference

To the extent any term of these Terms conflicts with an applicable BAA regarding PHI, the BAA controls.

6. Fees and Payment

Fees for the Services are set out in your Order. Unless otherwise stated:

  • Fees are billed in advance and are non-refundable except as required by law or expressly stated in an Order
  • You are responsible for all applicable taxes, excluding taxes based on our net income
  • Late payments may accrue interest and may result in suspension of the Services
  • We may change fees on renewal with prior written notice as specified in your Order

7. Intellectual Property

The Services, including all software, models, text, graphics, and other content provided by Patriot Pay (excluding your data), are owned by Patriot Pay or its licensors and are protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services during your subscription term solely for your internal business purposes and in accordance with these Terms.

You retain all rights to the data you submit to the Services ("Customer Data"). You grant us a limited license to process Customer Data solely to provide and improve the Services, subject to our confidentiality and data protection obligations.

8. Third-Party Services

The Services may integrate with or link to third-party products and services, including electronic health record (EHR) and practice management systems, payment processors, and communication providers.

We are not responsible for the availability, accuracy, or practices of third-party services. Your use of any third-party service is governed by that third party's terms and policies, and may require you to enter into separate agreements with those providers.

9. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

Patriot Pay does not warrant that the Services will be uninterrupted, error-free, or completely secure. The Services are tools that support billing operations; they do not constitute legal, financial, medical, or compliance advice, and you remain responsible for your own regulatory obligations.

10. Limitation of Liability

To the maximum extent permitted by law, in no event will Patriot Pay or its affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services.

Our total aggregate liability arising out of or related to these Terms will not exceed the amounts you paid to us for the Services during the twelve (12) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Patriot Pay and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your Customer Data, or your violation of these Terms or applicable law.

12. Term and Termination

These Terms remain in effect while you use the Services.

  • You may stop using the Services at any time, subject to the terms of your Order
  • We may suspend or terminate your access if you materially breach these Terms and fail to cure within a reasonable period, or immediately for violations that pose a security or legal risk
  • Upon termination, your right to use the Services ceases, and we will handle Customer Data in accordance with your Order and applicable law
  • Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive

13. Governing Law and Disputes

These Terms are governed by the laws of the State of New Hampshire, without regard to its conflict of laws principles.

Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in New Hampshire, and you consent to personal jurisdiction in those courts. Nothing in this section limits either party's ability to seek injunctive relief for the protection of intellectual property or confidential information.

14. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services, business, or legal requirements. When we make material changes, we will notify you by posting the updated Terms on our website and updating the "Last updated" date, and where appropriate, by additional notice.

Your continued use of the Services after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Services.
